Terms of Service

1. Service Description
Clawberth is a managed OpenClaw platform providing hosted Claw Agent infrastructure as a subscription service. We provision, monitor, and maintain containerized OpenClaw runtimes on your behalf, enabling you to deploy and operate AI-powered automation agents without managing underlying infrastructure.
2. Subscription & Payment
Clawberth operates on a monthly recurring subscription model. Subscriptions are processed by our authorized payment processor and automatically renew each month on the same date as your signup, unless cancelled. You are responsible for maintaining valid payment information. Failed payments may result in service suspension after notice.
3. Cancellation Policy
You may cancel your subscription at any time from the Subscription page in the dashboard. Cancellation must be completed by the day before the renewal date to take effect for the current billing period. Cancellation is effective at the end of the current billing period — you retain full access until that date. No refunds are issued for partial months, unused subscription time, or unused AI usage discounts, except as required by law. Service continues until the end of the current billing cycle.
4. BYOK (Bring Your Own API Key)
Users may use external model providers via LLM API keys they manage themselves. Clawberth's AI usage fees apply only to model usage billed through Clawberth. Model fees for usage via the user's own API keys are billed directly by each provider. The monthly subscription fee applies regardless of whether BYOK is used.
5. AI Usage Billing
Subscription fees are billed in JPY and cover hosting, persistent resources, and lifecycle management. AI usage charges are billed separately in JPY based on actual usage. New accounts will receive a one-time AI usage discount in the amount specified on the pricing page when the first paid subscription is activated. This discount applies only to AI usage charges, has no cash value, is non-transferable, non-refundable, and does not roll over.
6. Acceptable Use
You agree not to: (a) use the service for illegal activities; (b) gain unauthorized access to, overload, spam, or breach the security of our infrastructure; (c) resell or redistribute the service without explicit written permission; (d) circumvent security, authentication, or monitoring measures; (e) violate applicable laws, third-party rights, or third-party platform terms; or (f) engage in impersonation, deceptive misrepresentation, or unsolicited bulk messaging. When using the service in conjunction with messaging, social, community, or other third-party platforms, compliance with those platforms' terms and policies is the user's responsibility. Where Clawberth reasonably determines, based on complaints, notices from rights holders or platform operators, legal requirements, or other reasonable grounds, that use violates these terms, Clawberth may restrict, suspend, or take other necessary action, with prior notice where possible or without notice in urgent cases.
7. Service Availability
Clawberth endeavors to provide the service on a commercially reasonable basis. Service may be interrupted or delayed due to infrastructure failures, third-party provider issues, network failures, maintenance, or other events beyond our control. To the extent permitted by applicable law, Clawberth is not liable for damages arising from such interruptions, except in cases of willful misconduct or gross negligence.
8. Limitation of Liability
To the extent permitted by applicable law, Clawberth is not liable for indirect, incidental, special, or consequential damages, including lost profits. Our total liability is limited to fees paid in the prior 12 months. This limitation does not apply in cases of willful misconduct or gross negligence.
9. Governing Law
These terms are governed by the laws of Japan and shall be interpreted according to Japanese law, without regard to conflicts of law principles.
